Member Agreement for
ConnectedContractors.com, Inc.

This Agreement sets forth the terms and conditions for your use of the ConnectedContractors.com Web site. Your application for membership to ConnectedContractors.com indicates your agreement to these terms and conditions.

AGREEMENT entered into between you (hereinafter “Member”) and ConnectedContractors.com, Inc, whose address is 31 Edenville Road, Warwick, New York 10990 (hereinafter “ConnectedContractors.com”) as follows:

1. ConnectedContractors.com Memberships. Member hereby applies for membership to ConnectedContractors.com, ConnectedContractors.com's computer assisted home improvement service. This agreement hereby supercedes any ConnectedContractors.com Member Agreement in effect between Member and ConnectedContractors.com as of the effective date of this Agreement.

2. Web Site Content. ConnectedContractors.com Member will be provided with available server space for the purpose of storing content on the World Wide Web. The space is intended to allow Members to publish content of a business nature for the public viewing of the internet community. All account information is confidential, except where intentionally permitted by you for the necessary posting of information on this web site, listings in our directories, public access web pages or for correspondence between you and another registered ConnectedContractors.com user/member. Any public data that you store on the ConnectedContractors.com servers may be searchable through an online search engine provided by ConnectedContractors.com. If you do not want private information made accessible to the public or other members then do not submit personal information in any portion of ConnectedContractors.com's web site that is accessible by the public or other members. All content stored or published on our servers by you or employees of your business must be suitable for all possible audiences. Content of an explicit nature is not allowed and will be removed immediately. Examples of content that are unacceptable are nudity, provocative or suggestive materials, vulgar language, materials of a violent or disturbing nature, illegal drugs, slanderous content and anything condoning or glorifying illegal activities.

3. Data Backup. Although all data on ConnectedContractors.com is backed up on a regular basis, ConnectedContractors.com will not accept responsibility for lost or destroyed data, directories or sites. Instead, ConnectedContractors.com’s backups will serve as protection for its own protection in case of a catastrophic system crash. Members are urged to have their own current backup of their web site. ConnectedContractors.com is not responsible for any data lost from our servers.

4. Copyrighted material. Copyrighted material may not be displayed or distributed on any site hosted by ConnectedContractors.com. This includes, but is not limited to: pirated software, digital captures of audio or video, serial numbers or registration codes for retail software and any documents or text that is copyrighted.

5. ConnectedContractors.com Representations and Warranties. ConnectedContractors.com represents and warrants as follows:
A. It is a corporation duly formed and existing under the laws of the state specified in the registration process.
B. It maintains a place of business at the above address.
C. It is duly licensed to utilize the software necessary to create the ConnectedContractors.com Web Site and shall continue to maintain such license.
D. It shall use reasonable efforts to maintain the site for the term of this agreement.

6. Member’s Representations and Warranties. Member represents and warrants as follows:
A. It is duly organized and existing under the laws of the state specified in the registration process.
B. It maintains a place of business at the address shown in the Member's Profile screen.
C. It maintains and will maintain liability insurance equal to or in excess of ConnectedContractors.com’s required minimum amount as published from time to time by ConnectedContractors.com.
D. All work conducted by Member is and will be performed in a good and workmanlike manner as determined by ConnectedContractors.com in its sole discretion.

7. ConnectedContractors.com Charges. Charges payable by Members for access to and use of ConnectedContractors.com will be as stated on the Membership Plans page of this web site or as otherwise agreed by the parties in writing. The charges currently payable by Member for the Service are as set forth on the Membership Plans page of this web site or as otherwise agreed by the parties in writing. All charges are exclusive of sales, use, ad valorem, personal property and other taxes, which are the responsibility of Member. Member will pay all invoices in full within 30 days of receipt. If full payment is not made, Member may be charged up to 18% interest on the unpaid balance.

8. Term of Agreement. This agreement will become effective upon approval and execution by ConnectedContractors.com. All payments are 95% refundable, for any reason, if you notify us within 14 days of signing up (selecting a membership plan, submitting your credentials and payment), and 100% refundable if your business does not qualify for membership. This agreement shall be in effect for a period of one year (the “Initial Term”). The Agreement may be terminated by the Member by giving written notice of termination at least 30 days prior to expiration of the term. ConnectedContractors.com offers a 14 day grace period. If your company doesn't qualify, or if you choose to withdraw your application for any reason, ConnectedContractors.com will refund your intial payment, less a 5% processing charge, provided that you notify ConnectedContractors.com in writing within 14 days of your application.

9. Limitations. Member may not copy, download, store, publish, transmit, transfer, sell or otherwise use the ConnectedContractors.com data in any form or by any means, except as expressly permitted by ConnectedContractors.com. Member may not compete or offer competitive product utilizing the ConnectedContractors.com computer assisted home improvement service.

10. Termination upon Breach. ConnectedContractors.com may terminate this agreement, including all memberships, immediately upon giving written notice of termination to Member if Member commits a breach of this Agreement or of any obligation to ConnectedContractors.com under any other agreement between the parties. In the event of termination, ConnectedContractors.com shall not be required to refund any portion of Charges paid by Member up to and including the date of termination.

11. Obligation upon Termination. Upon termination of any membership by any party, Member shall immediately return to ConnectedContractors.com any and all software and or data provided by ConnectedContractors.com in connection with this agreement together with any copies made thereof and shall delete such information from any permanent storage drive.

12. Force Majeure. ConnectedContractors.com’s performance under this Agreement is subject to interruption and delay due to causes beyond its reasonable control such as acts of God, acts of any Government, war or other hostility such as civil disorder, the elements, fire, explosion, power failure, equipment failure, industrial or labor disputes and the inability to obtain necessary supplies and/or equipment. ConnectedContractors.com will not be responsible for revenues lost due to loss of service, server outages, scheduled maintenance and other down time. ConnectedContractors.com does not guarantee 24 hour uptime on the web site.

13. Notices. Except as provided in this agreement, all notices shall be given to the parties at the address shown in the Member's Profile screen by certified mail.

14. Governing Law. This Agreement shall be governed by the laws of the State of New York. Any action or legal proceeding concerning this agreement shall be brought in the New York State Supreme Court of the County of Orange or the Federal District Court of the southern District of New York.

15. Attorneys Fees. In the event it is necessary for ConnectedContractors.com to retain an attorney to enforce any provision of this agreement, Member shall be responsible for ConnectedContractors.com’s attorneys fees, as well as any court costs and disbursements incurred in the enforcement of this agreement.

16. General Provisions. Neither this agreement nor any part or portion hereof may be assigned or otherwise transferred by Member without ConnectedContractors.com’s prior written consent. Should any provision of this agreement be held to be void or invalid, unenforceable or illegal by a court, the validity of the other provisions will not be affected thereby. Failure of either party to enforce any provision of this Agreement will not constitute or be construed to be a waiver of such provision or of the right to enforce such provision. The headings and captions contained in this agreement are inserted for convenience only and do not constitute a part hereof.
